These terms cover the use of Lumate and of OXS Cloud (the website, the customer portal, licence activation, updates and support). They are between OXS Bilişim [TBC: full legal name and form, registered address, MERSİS and tax number] ("OXS", "we") and the company that signs up or buys a plan ("the customer", "you").
1. What Lumate is
Lumate is software that the customer installs and runs on its own computer or server. It runs a team of AI agents for the customer's company: they answer and make phone calls, write on WhatsApp and by email, keep contacts and appointments, and do the work the customer gives them.
- The customer runs it. Lumate runs on the customer's machines. OXS does not host it and does not see the data in it.
- The customer brings its own AI. The agents think with Claude (Anthropic), on the customer's Claude account or Anthropic API key. Voice and voice notes use OpenAI, on the customer's OpenAI key. These providers' own terms and prices apply to that use, between the customer and the provider.
- OXS Cloud is OXS's own service: accounts, licences, downloads, updates, announcements and support.
2. Your account
- Keep sign-in details secret and use two-step sign-in where you can. You are responsible for what is done with your account and your licence keys.
- The person who signs up must be allowed to accept these terms for the customer.
- Tell us at once if you think an account or a licence key was misused: [TBC: support email].
3. Trial, plans and payment
- A new account may start with a free trial. Its length and limits are shown in the portal.
- A paid plan is billed in advance for its period (monthly or yearly), at the price shown when you order it. Taxes are added where the law requires them.
- Payments may be handled by a payment provider acting as reseller (merchant of record). Its own terms then apply to the payment. [TBC: name the provider when payments start.]
- Renewal: a plan renews at the end of each period unless it is cancelled before. A cancelled plan runs to the end of the period already paid.
- Unpaid plans: if a payment fails, the licence stays valid for a grace period shown in the portal. After it, Lumate stops starting new work until the plan is paid. Your data stays on your machines and can always be exported.
- Refunds: [TBC: refund policy, and consumer rights where they apply.]
- Price changes are announced at least 30 days before they apply to a renewal.
4. The licence
The software is licensed, not sold, under the Licence agreement. In short: you may install and use it within your plan's limits for your own company's work; you may not copy it for others, take it apart or get around its licence checks.
5. Your data
- Your data is yours. What Lumate keeps (contacts, messages, call transcripts, files, app records) stays on your machines. OXS does not receive it, store it or use it.
- What reaches OXS is described in the Privacy policy: your portal account, and the licence's check-ins, which carry counts and codes only (for example the version and how many calls were made that day), never names, numbers or messages.
- The AI providers receive what each piece of work needs, on your own accounts. Your agreements with them decide what they may do with it.
- Backups are your job. Lumate makes backups on your machines; keep copies elsewhere.
- After the end: you can export all your data at any time, also after a licence ends.
6. Lawful use
Lumate calls, writes and acts in your company's name. You are responsible for using it lawfully, and in particular for:
- Calls and messages: the rules of every country you call or write to (consent, do-not-call registers, calling hours, recording notices, telling people they talk to an AI where required). Lumate has settings that help (for example its call rules for the UAE and Türkiye), but they do not replace your own legal advice. Lumate never denies being an AI to someone who sincerely asks.
- Personal data: having a lawful basis for the personal data you keep and process with Lumate (for example under KVKK in Türkiye, the GDPR in the EU, or the PDPL in the UAE), and answering the people it concerns.
- Other services' terms: WhatsApp, LinkedIn, phone carriers, email providers and websites your agents use. Some of them restrict automated use; your accounts there can be limited by them.
- No harmful use: no spam, fraud, harassment, impersonation, unlawful surveillance, or calls and messages to people who said no.
We may suspend a licence that is used in clear breach of this section, after telling you where the law and the urgency allow.
7. Updates and support
- Lumate updates itself from OXS's update channel (or an update folder the customer sets), with releases signed by OXS. You can choose the channel and a maintenance window, and go back to the version before.
- Support is given by email and through the portal on working days [TBC: support hours and any response times per plan].
- We may change the software and the service. We will not remove a main feature of your plan during a period you have paid without telling you and offering a fair remedy.
8. Availability
OXS Cloud is run with care, but it can be down at times. A licence stays valid for some days without reaching OXS Cloud, so short outages do not stop Lumate. Planned maintenance is announced in the app and on the status page.
9. Warranties
Lumate uses AI. AI makes mistakes: an agent can misunderstand, say something wrong or act on wrong information. Check what matters, keep a person in the loop for important decisions, and use the approval settings Lumate offers.
To the extent the law allows, the software and the service are provided "as is", without warranties beyond those in these terms. Nothing in these terms limits rights that cannot be limited by law.
10. Liability
[TBC: the lawyer to set the cap and its exceptions.] To the extent the law allows:
- OXS is not liable for indirect or consequential losses, lost profits or lost data;
- OXS's total liability in any 12 months is limited to the fees the customer paid for Lumate in those 12 months;
- these limits do not apply to wilful misconduct, gross negligence, or anything else the law does not allow to be limited.
11. Ending
- You can cancel your plan at any time in the portal; it runs to the end of the paid period.
- We can end these terms if you seriously breach them and do not put it right within 14 days of our notice, or at once for unlawful use.
- When a licence ends, Lumate stops starting new work. Your data stays on your machines and can still be exported.
- Sections 5, 9, 10 and 12 continue after the end.
12. General
- Changes to these terms are announced at least 30 days before they apply. If you do not agree, you can cancel before they apply.
- Governing law and courts: [TBC: governing law, and the courts or arbitration that decide disputes].
- Notices go to the email address of the account's owner, and to us at [TBC: legal notices email].
- If a part of these terms is invalid, the rest stays in force.
