This agreement is the licence for the Lumate software (the desktop edition for Windows, the server edition, Lumate Desk and the office browser extension, with their updates). It is between OXS Bilişim [TBC: full legal name] ("OXS") and the customer that holds a plan or a trial. The Terms of service also apply.
1. What you may do
While your plan or trial is active, OXS gives you a non-exclusive, non-transferable licence to install and use Agent X for your own company's work:
- on as many machines, with as many users, agents and seats as your plan allows (shown in the portal and in Settings → Licence);
- with a test install where your plan includes one, for testing only;
- and to make backups of your installation and your data.
2. What you may not do
Unless the law expressly allows it despite this agreement, you may not:
- copy, sell, rent, lend, sublicense or give the software to others, or run it for other companies as a service;
- take it apart, decompile or reverse engineer it, or try to get its source code;
- change it, or remove or get around its licence checks, limits, update signatures or security measures;
- use it beyond your plan's limits, or share licence keys or activation codes outside your company;
- use it in breach of the Terms of service, in particular their lawful-use rules.
3. Ownership
The software is licensed, not sold. OXS and its licensors keep all rights in it. Lumate is closed source; parts of it are open-source components under their own licences, listed in the notices that come with it, and nothing here limits the rights those licences give you.
What your agents produce and what you keep in Lumate (your data, your apps, their records and pages) belongs to you.
4. Licence checks and what they send
Lumate checks its licence with OXS Cloud when it is activated and about every 12 hours. These check-ins carry counts and codes only, never names, numbers, messages or files; the exact fields are in the guide (What we send) and, as last sent, in Settings → Licence. A licence stays valid for 14 days without a check-in. An offline licence (Enterprise) never checks in; it lasts to the end of the subscription plus 7 days, at most a year. If it cannot be renewed (the plan ended, was not paid, or the licence was revoked for a breach), Lumate stops starting new work; your data stays and can be exported.
5. Updates
Updates are part of the licence while it is active. They are signed by OXS, and Lumate installs only signed updates. You can choose the update channel and a maintenance window, and go back to the version before. OXS supports the current release and [TBC: how many] releases before it.
6. Third-party services
Lumate works with services you choose and pay for separately: Anthropic (Claude), OpenAI, WhatsApp, phone systems, email providers and others. Their terms apply to your use of them. OXS is not responsible for their availability or their changes, and some of them restrict automated use (see the Terms of service).
7. Warranty and liability
As in the Terms of service (sections 9 and 10).
8. End
The licence ends when your plan or trial ends, or when the Terms of service end. You then stop using the software except to export your data, which you can always do.
